1. ACCEPTANCE OF TERMS

By accessing or using the services of Gilded Halls, you agree to be bound by these terms of service, all applicable laws, and regulations. If you do not agree with any part of these terms, you must not use our services.

2. MODIFICATIONS TO TERMS OF SERVICE

Gilded Halls reserves the right to modify or replace these terms of service at any time. Your continued use of the service following the posting of any changes constitutes acceptance of those changes.

3. ORDERS AND SHIPPING

Any estimated shipping date provided by Gilded Halls is based on the date that Gilded Halls receives your order, product availability, and payment processing time, and does not include transit time. Gilded Halls processes orders to shipping addresses globally; however, Gilded Halls currently only ships framed products to addresses inside the United States.

4. RETURNS

Every product sold by Gilded Halls is “made to order,” which means it is specifically manufactured just for you only after you have placed your order. Accordingly, Gilded Halls does not accept refunds, returns, or exchanges for orders. We are also unable to make any changes or cancellations to orders after 24 hours from the moment the order is placed. If you believe you have made a mistake with your order, please contact us immediately at support@gildedhalls.com.

5. PAYMENT, PRICING, AND PRODUCTS

To pay for an order, you will need to provide Gilded Halls with the information necessary to process an order from you, including your shipping address and the billing information requested on the site to pay for such order. You may pay for your order via credit card or any other manner then available on the site. By submitting your payment information to us, you authorize us to charge the applicable payment method at our convenience but within thirty (30) days of credit card authorization. You represent that you will not use any credit card or other form of payment unless you have all necessary authorization to do so. We assume that because orders require a valid credit card, only persons age 18 or over are placing orders and providing us with the information requested during the order process. We shall not be liable in the event your children or others acting with or without your permission use your credit card or other means of payment to make purchases on the site (and to the extent your minor children make any such purchases, you hereby represent and warrant that they are authorized to do so); however, you may report any unauthorized use to us, and we will use reasonable measures within our control to help prevent future unauthorized use of your card.

6. OWNERSHIP OF TECHNOLOGY AND CONTENT

You understand and acknowledge that the software, code, proprietary methods, and systems used to provide the site and/or services (“Our Technology”) are: (i) copyrighted and trademarked by Gilded Halls and our parents, subsidiaries, affiliates, and licensors under United States and international copyright and trademark laws; (ii) subject to other intellectual property and proprietary rights and laws; and (iii) exclusively owned by us or our parents, subsidiaries, affiliates, or licensors. Our Technology may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without our prior written permission and the prior written permission of our applicable parents, subsidiaries, affiliates, or licensors. You must abide by all copyright and trademark notices, information, or restrictions contained in or attached to any of Our Technology. Nothing in these terms of service grants you any right to receive delivery of a copy of Our Technology or to obtain access to Our Technology except as generally and ordinarily permitted through the site according to these terms. Furthermore, nothing in these terms will be deemed to grant, by implication, estoppel, or otherwise, a license to Our Technology. Certain of the names, logos, and other materials displayed on the site, products, or in the services constitute trademarks, tradenames, service marks, or logos (“Marks”) of Gilded Halls or other entities belonging to Gilded Halls. You are not authorized to use any such Marks. Ownership of all such Marks and the goodwill associated therewith remains at all times with Gilded Halls or those other applicable entities. Any use of third-party software provided in connection with the site or services will be governed by such third parties’ licenses and not by these terms. Subject to these terms, Gilded Halls grants you a limited license to reproduce portions of the information and content available on the site and in the services for the sole purpose of using the site and services for your personal, non-commercial purposes. Unless otherwise specified by Gilded Halls in a separate license, your right to use such materials that you access or download through the site or the services is subject to these terms. As a part of the site and/or services, you may have access to materials that are hosted by another party. You agree that it is impossible for Gilded Halls to monitor such materials and that you access these materials at your own risk.

7. USER SUBMITTED MATERIALS

As part of the service, Gilded Halls may elect to allow you to send Gilded Halls your own materials for Gilded Halls to print, frame, and return to you as a final product. In such an event, any materials submitted by you to Gilded Halls, including, without limitation, your artwork, photographs, images, text, graphics, and other materials (collectively, "User Submitted Materials") are subject to the following terms and conditions. You will retain ownership of such User Submitted Materials, and you grant Gilded Halls and our parents, subsidiaries, affiliates, assignees, and designees a non-exclusive, perpetual, royalty-free right and license, to use, reproduce, distribute, create derivative works of, and publicly display such User Submitted Materials (i) to enable you to use the service to create, produce, and purchase applicable product(s), (ii) in connection with the production or provision of any product or service you request, (iii) to show you how your User Submitted Materials would appear in our products or services, and (iv) to enable Gilded Halls to provide the applicable products and services. For example, when you place an order for a product using User Submitted Materials, we will prepare, manipulate (if necessary), and transmit the User Submitted Materials for framing, packaging, and shipment.

Please note that, while you retain ownership of your User Submitted Materials, any template or layout in which you arrange or organize such User Submitted Materials through tools and features made available through our site are not proprietary to you, and the rights to such template or layout will remain with us. By submitting User Submitted Materials, you additionally represent and warrant that you own or otherwise possess all necessary rights with respect to the User Submitted Materials, and that the User Submitted Materials do not and will not infringe, misappropriate, use or disclose without authorization or otherwise violate any copyright, trademark, trade secret right, or other intellectual property or other property right or privacy right of any third party, and that the User Submitted Materials are not unlawful, fraudulent, threatening, abusive, harassing, defamatory, libelous, deceptive, invasive of another’s privacy, tortious, obscene, vulgar, offensive, or otherwise inappropriate.

8. PRIVACY

Your use of the service is also subject to Gilded Halls's Privacy Policy, which explains how we collect, use, and disclose your personal information. By using the service, you agree to the terms of the Privacy Policy.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

The service is provided on an "as is" and "as available" basis. Gilded Halls makes no representations or warranties of any kind, express or implied, regarding the use or the results of this service in terms of its correctness, accuracy, reliability, or otherwise. Gilded Halls shall have no liability for any interruptions in the use of the service. To the fullest extent permitted by law, Gilded Halls disclaims all warranties with regard to the information provided, including the implied warranties of merchantability and fitness for a particular purpose, and non-infringement.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Gilded Halls, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these terms of service or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the service using your account.

11. TERMINATION

Gilded Halls may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under its sole discretion, for any reason whatsoever, including but not limited to a breach of these terms. If you wish to terminate your account, you may simply discontinue using the service.

12. ARBITRATION

For any dispute you have with Gilded Halls, you agree to first contact us at support@gildedhalls.com and attempt to resolve the dispute with us informally. If Gilded Halls has not been able to resolve the dispute with you informally, we each agree to resolve any claim, dispute, or controversy (excluding claims for injunctive or other equitable relief) arising out of or in connection with or relating to these terms by binding arbitration.

13. GENERAL PROVISIONS

Nothing in these terms of service shall affect any non-waivable statutory rights that apply to you. To the extent any claim, dispute, or controversy regarding Gilded Halls or our service
